The agreement
Outside Vendor and Booth Agreement, REV3. Between UON Collective, LLC, d/b/a UON curate, 13554 Triadelphia Road, Ellicott City, MD 21042 (the "Store"), and the vendor who signs below (the "Vendor").
1. Space, Date and Hours
The Store grants the Vendor use of an assigned outdoor or indoor space at the premises on the event date(s) given below, during the hours the Store confirms. Setup and teardown happen within the times the Store confirms, and the space must be cleared by the teardown time. The Store assigns and may reassign the space; the Vendor uses only the area assigned to it.
2. Booth Fee
Outdoor booth space is provided free of charge. For indoor space, the Store may charge a booth fee, set case by case for each event and confirmed in writing before the event. Any booth fee is due at check-in on the event day and, except as provided in Section 7, is non-refundable. If no fee is confirmed, no fee is due.
3. Vendor’s Goods and Sales
The Vendor sells only its own goods. The Vendor handles its own sales, point-of-sale, and cash, and is solely responsible for collecting and remitting all applicable sales tax and for holding any permits or licenses its activity requires. The Store does not process the Vendor’s sales and takes no commission unless a percentage fee is confirmed in writing.
4. Setup, Teardown and Equipment
The Vendor provides its own tables, tent, signage, power (if any), and supplies. Any tent or canopy must be safely and adequately weighted. Nothing may be affixed to, or may damage, the building, landscaping, or pavement. The Vendor removes all goods, equipment, and trash and leaves the space clean and undamaged by the teardown time.
5. Conduct
The Vendor and its staff conduct themselves professionally and in a family-friendly manner, comply with Store instructions and all applicable laws, and do not block entrances, fire lanes, walkways, or parking beyond the assigned space.
6. Insurance, Liability and Risk
The Store is not responsible for the Vendor’s goods, equipment, or property, or for any loss, theft, weather damage, or other damage to them. The Vendor assumes all risk of its participation and agrees to indemnify, defend, and hold harmless UON Collective, LLC and its owners, employees, and agents from any and all claims, damages, injuries, liabilities, or costs (including reasonable attorney’s fees) arising out of or related to the Vendor’s activities, goods, equipment, or staff. The Vendor is advised to carry its own general liability insurance.
7. Cancellation and Weather
Either party may cancel on seven (7) days’ written notice. If the Store cancels, or the event is called off for weather, any booth fee paid is credited to a future date. If the Vendor cancels within three (3) days of the event, any booth fee is forfeited. Any rain or severe-weather decision is made at the Store’s discretion.
8. Compliance and General Terms
This Agreement is governed by the laws of the State of Maryland. It constitutes the entire agreement between the parties and may be modified only in writing. If any provision is unenforceable, the remainder stays in effect.
9. Electronic Signature
The Vendor agrees that typing their full name below and ticking the agreement box is their electronic signature, has the same effect as a handwritten signature, and that this Agreement may be signed and kept electronically.
